Terms of Service

1. Services

We provide professional services (e.g., ERPNext implementation, custom Frappe development, mobile app development, IT consultancy) and productized apps (e.g., BioSync, Audit Management, Africa Payroll). Some Services may be delivered alongside third-party providers (e.g., domain/hosting).

2. Eligibility & accounts

You must have the authority to enter into these Terms. You are responsible for the accuracy of information you provide and for safeguarding credentials used to access our Services.

3. Orders, fees & taxes

Quotes, statements of work (SOW), or order forms specify scope, pricing, and payment terms. Unless stated otherwise, invoices are due upon receipt. Fees are exclusive of taxes, which you are responsible to pay.

4. Domain & hosting services

• When you request domain registration/renewal/transfer, you authorize us to submit required information (registrant, admin, tech, billing contacts) to our provider(s) and applicable registries.
• You are responsible for accuracy of domain contact details, timely renewal payments, and compliance with applicable policies. Failure to renew may result in expiry or additional restore fees from providers.
• Hosting resources are subject to provider terms (fair use, prohibited content, bandwidth/storage limits).

5. Your content & data

You retain ownership of your content and data. You grant us a limited license to host, process, and display your content only as necessary to provide the Services and comply with law.

6. Intellectual property

• We own all rights in our pre-existing materials, methodologies, and software. Custom deliverables identified in a paid SOW are assigned or licensed as stated in that SOW upon full payment.
• Third-party components are subject to their respective licenses (including open-source). You are responsible for any usage limits/fees of third-party platforms you elect to use.

7. Acceptable use

You will not misuse the Services, disrupt systems, reverse engineer where prohibited, transmit malware, or violate laws/third-party rights. We may suspend or terminate for violations.

8. Confidentiality

Each party will protect the other’s non-public information and use it only for the purpose of the engagement. This obligation continues for three (3) years after disclosure, or longer where law requires.

9. Privacy

Our Privacy Policy explains how we collect and use information. By using the Services, you acknowledge it.

10. Warranties & disclaimers

We will perform professional services in a workmanlike manner consistent with industry standards. Except as expressly stated, the Services are provided “as is” and “as available”, without warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, lost profits, or loss of data. Our aggregate liability arising out of or relating to the Services is limited to the fees paid by you to us for the Services giving rise to the claim in the twelve (12) months preceding the event.

12. Indemnification

You agree to defend and indemnify us against third-party claims arising from your content, use of the Services in violation of these Terms, or infringement caused by materials you provide.

13. Term & termination

Either party may terminate an SOW or subscription as permitted therein. We may suspend or terminate access for material breach. Upon termination, you remain responsible for fees accrued and we will reasonably cooperate on transition as agreed.

14. Governing law & disputes

These Terms are governed by the laws of India, without regard to conflicts of law rules. Courts located in Vadodara, Gujarat, India shall have exclusive jurisdiction, and you consent to personal jurisdiction there.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be posted here with an updated effective date. Continued use of the Services after changes means you accept the updated Terms.
